Terms of Service

These Terms of Service (“Terms”) govern your use of Magnus, a personal planning app for iPhone and iPad (“Magnus” or the “App”), provided by Bradon Keeny (“we,” “us,” or “our”).

By downloading, accessing, or using Magnus, you agree to these Terms. If you do not agree, do not use the App.

1. Who we are

2. Eligibility

You must be at least 13 years old to use Magnus. If you are under the age of majority in your jurisdiction, you may only use Magnus with the involvement of a parent or guardian. By using Magnus, you represent that you meet these requirements.

3. The service

Magnus is a personal planning app that helps you organize your calendar, habits, goals, workouts, meals, sleep, hydration, finances, and daily routine in one place. Magnus integrates with services you choose to connect, such as Apple Calendar, Apple Health, Oura, and others described in our Privacy Policy.

Magnus is provided “as is” and is currently offered in part through beta channels such as TestFlight. Features, layouts, and behavior may change as the App is developed.

4. Accounts and guest mode

You may use Magnus by signing in with Apple, or in guest mode without an account. In guest mode, your data is stored only on your device and is not synced to iCloud. If you sign in with Apple and enable iCloud sync, your planner data is stored in your private iCloud account as described in our Privacy Policy.

You are responsible for maintaining the security of your device and Apple ID. We are not responsible for unauthorized access to your account resulting from your failure to safeguard your device or credentials.

5. Subscriptions and purchases

Magnus may offer optional subscriptions or in-app purchases (“Premium Features”) that unlock additional functionality.

  • Billing. Subscriptions are billed through your Apple ID account via the App Store. Pricing and billing terms are presented to you before purchase.
  • Auto-renewal. Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period, at the price you agreed to at purchase (or any updated price we have notified you of in advance).
  • Managing and canceling. You can manage or cancel your subscription at any time in your Apple ID account settings. Canceling does not retroactively refund any portion of a subscription period already paid for.
  • Free trials. If a free trial is offered, any unused portion of the trial period is forfeited when you purchase a subscription, where applicable.
  • Refunds. Refund requests are handled by Apple in accordance with Apple’s policies, not by us directly.
  • Price changes. We may change subscription prices from time to time. We will provide notice as required by Apple’s guidelines before any price change takes effect for existing subscribers.

This section is supplemented by Apple’s Licensed Application End User License Agreement, which applies to your use of the App in addition to these Terms where applicable.

6. Your content

“Your Content” means any information you create, upload, or store in Magnus, including habits, goals, tasks, meals, notes, calendar entries, and similar planner data.

You retain ownership of Your Content. We do not claim any ownership rights to it. Because most of Your Content is stored on your device or in your private iCloud account, we generally do not have access to it.

You are solely responsible for Your Content and for ensuring it does not violate any law or any third party’s rights.

7. Acceptable use

You agree not to:

  • Use Magnus for any unlawful purpose or in violation of these Terms
  • Attempt to reverse engineer, decompile, or extract the source code of the App, except as permitted by applicable law
  • Interfere with or disrupt the integrity or performance of the App or any connected third-party service
  • Use automated means to access the App in a manner that sends more requests than a human could reasonably produce
  • Misuse any third-party integration (such as Apple Health, Oura, calendar sync, or financial connections) in a way that violates that provider’s terms

8. Health, fitness, and nutrition information

Magnus may display information related to sleep, activity, nutrition, workouts, and recovery, including data read from Apple Health or connected devices such as Oura.

Magnus is not a medical device and does not provide medical advice, diagnosis, or treatment. Information in the App, including readiness scores, calorie targets, macro suggestions, and workout plans, is for general informational and organizational purposes only. Always consult a qualified healthcare professional before making changes to your diet, exercise routine, or medical care, especially if you have a pre-existing condition.

You are solely responsible for decisions you make based on information shown in Magnus.

9. Financial information

If Magnus offers features related to budgeting, savings goals, or financial account connections (such as through Plaid or similar services), this information is provided for personal organizational purposes only.

Magnus does not provide financial, investment, tax, or legal advice. We are not a registered investment advisor, broker, or financial institution. Any market data, account balances, or financial summaries shown in the App are for informational purposes and may be delayed, incomplete, or inaccurate. You should not rely on Magnus as the sole basis for any financial decision.

10. Third-party services

Magnus connects to or displays information from third-party services, including but not limited to Apple (iCloud, HealthKit, WeatherKit, EventKit), Oura, public transit data providers, recipe and nutrition databases, news sources, and market data providers, as described in our Privacy Policy.

We do not control these third-party services and are not responsible for their availability, accuracy, content, or practices. Your use of any third-party service connected through Magnus is subject to that provider’s own terms and privacy policy. If a third-party service becomes unavailable, changes its terms, or discontinues access, related features in Magnus may stop working without notice.

11. Household sharing

If Magnus offers household or sharing features, any data you choose to share with another person through those features is shared at your own discretion and becomes subject to that person’s own use of the App. We are not responsible for how another user handles information you share with them.

12. Intellectual property

Magnus, including its design, code, graphics, and branding, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license to use the App as permitted by Apple’s App Store terms and these Terms, no rights are granted to you in the App’s underlying intellectual property.

13. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, secure, or that any data (including data from third-party integrations) will be accurate or available at all times. As a beta product, Magnus may contain bugs or change significantly between versions.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF MAGNUS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Termination

You may stop using Magnus at any time and delete your data using the options described in our Privacy Policy (Settings → Account → Reset all data or Delete account, or Settings → Danger zone in guest mode).

We may suspend or discontinue the App, or any feature of it, at any time, with or without notice, including if required by a third-party service provider whose data Magnus relies on.

16. Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Continued use of Magnus after changes take effect means you accept the updated Terms. If changes are material, we will make reasonable efforts to notify you in the App.

17. Governing law

These Terms are governed by the laws of the United States and the state in which we operate, without regard to conflict-of-law principles, except where applicable law requires otherwise based on your location.
